1. Company and Scope
These Terms of Service ("Terms") govern your access to and use of websites, software, bots, digital products, and services provided by tazldied LLC ("tazldied," "we," "our," or "us"), including services available through tazldied.com and related pages.
These Terms apply unless a separate written agreement signed by both you and tazldied LLC governs a specific engagement. If there is a conflict, the signed written agreement controls for that engagement.
2. Acceptance and Eligibility
By accessing or using our services, you agree to these Terms and confirm that you have authority to accept them for yourself or the entity you represent.
You may not use our services if your use would violate any applicable law, regulation, or third-party platform rule.
3. Services Covered
Our services include custom website design and development, managed website hosting support, Discord bot development and operation, and related digital offerings sold through our website.
Service features, timelines, and deliverables vary by plan, quote, invoice, product listing, or project scope.
4. Orders, Projects, and Delivery
You agree to provide timely and accurate information, content, approvals, credentials, and decisions needed for us to perform services.
Project timelines are estimates unless we explicitly agree to deadlines in writing. Delays caused by missing client materials, slow approvals, or scope changes may extend delivery dates.
Any new requests outside the agreed scope may require revised pricing and/or a separate statement of work.
5. Fees, Billing, Cancellations, and Refunds
Fees, billing cycles, and payment due dates are stated in your order, invoice or quote. You authorize us and our payment processors to charge amounts due under those terms.
Late or unpaid balances may result in paused work, service limitations, or suspension.
Cancellations and refunds are handled under our Billing and Refund Policy, unless a separate written and signed contract states otherwise.
6. Acceptable Use and Restrictions
You may not use our services for unlawful activity, malware, phishing, harassment, spam, abuse, rights violations, security interference, or resource misuse.
We reserve the right to monitor your use of our services and take action if we believe you have violated these Terms.
Additional rules are described in our Acceptable Use Policy, which is incorporated into these Terms.
7. Third-Party Platforms and Payments
Some services depend on third-party platforms and tools such as hosting vendors, domain registrars, Discord, Stripe, and other processors or APIs. Those providers operate under their own policies.
We are not responsible for third-party outages or service interruptions outside our control.
8. Intellectual Property
Each party retains ownership of its pre-existing intellectual property, including trademarks, branding, code, and proprietary materials created before the engagement.
You represent that you have rights to all content and assets you provide to us and grant us a limited license to use them only as needed to deliver services.
Unless a signed agreement states otherwise, ownership or license rights to final custom deliverables are transferred as specified in your applicable invoice, proposal, or statement of work after full payment is received.
9. Privacy and Data Handling
Our collection and use of personal information is described in our Privacy Policy. By using our services, you acknowledge and agree to that policy.
You are responsible for providing any notices or consents required for personal data you submit through our services.
10. Suspension and Termination
We may suspend or terminate access to all or part of our services if we reasonably believe you violated these Terms, created legal risk, failed to pay amounts due, or caused harm to our systems and business.
You may stop using services at any time, subject to any active billing terms, minimum terms, or project commitments already agreed in writing.
We reserve the right to suspend or terminate your access to our services at any time, with or without cause and with or without notice.
11. Disclaimers
To the maximum extent permitted by law, services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted operation, error-free performance, specific business results, ranking outcomes, platform approval, or uninterrupted availability from third-party services.
12. Limitation of Liability
To the maximum extent permitted by law, tazldied LLC and its owners, members, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption.
To the maximum extent permitted by law, our total aggregate liability for claims related to these Terms or the services will not exceed the amount you paid to us for the specific service giving rise to the claim in the 12 months before the event giving rise to liability.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless tazldied LLC and its owners, members, employees, and contractors from third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the services, or your violation of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms by posting a revised version in this legal center and updating the effective date.
Continued use of services after changes become effective means you accept the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Before filing a formal legal claim, you agree to first contact us at the email below and make a good-faith effort to resolve the dispute informally.
